Definition of terms
for Strytex Privacy Policy, Website Terms of Use, Portal Terms of Use and Service Agreements.
These definitions cover the Strytex Website, Portal, and cloud based Services operated by Strytex Pty Ltd ACN 138 521 132.
References to “Strytex“, “us”, “our” and “we” throughout these terms and conditions is a reference to the legal entity referred to above.
“Administrator”
A person employed by a Member organisation or a Source organisation, and who has authorised access to their Member Site and Company Profile Page for administrative purposes.
“Authorised Employee”
Collectively all Employees but excluding Non Users.
“Basic Services Agreement”
The online contract entered into between Strytex and the Member that sets out the terms and conditions with which the Member must comply in order to access the cloud-based SaaS Products and Services.
“Company Profile Page”
The publicly accessible page that summaries a subset of Member Information, and includes:
- business logo
- business description
- business activities
- business contact details
- business locations
- Employee contact details (Authorised Employees only)
The Administrator has some control over what is displayed on the Company Profile Page. All Authorised Employees control what Personal Information is displayed on the Company Profile Page.
“CRM System”
The customer relationship management system through which Strytex or its agent manages information (including Personal Information) in relation to the Portal and Website.
“Dollar or $”
Reference to “$” or dollars means Australian dollars and in the context of payment means payment in Australian dollars.
“Employee”
Collectively all persons who are registered as Administrators, Users, Execs and Non Users for a particular Member Site and who are employees of that Member organisation. Contractors do not fall within the definition of Employees unless expressly agreed with Strytex.
“Exec”
A person employed by a Member organisation or a Source organisation, and who has authorised access to read-only areas of their Member Site and relevant areas of the Portal.
“Facility”
A building as part of a campus at a Location or part of a building at a Location.
“Intellectual Property Rights“
All statutory or other proprietary rights (registered and unregistered) in respect of copyright, design, patents, inventions, knowhow, databases, trademarks, source codes and all other rights resulting from intellectual activity in the industrial, scientific, literary or artistic fields.
“Linked Members”
Members that are linked together to share business to business information.
“Location”
A building or a collection of buildings (campus) at a geographic location with a street address.
“Managed Services “
Any Products and Services supplied by Strytex to Member organisations via the Portal as a managed service. Managed Services are document administration and organisation information services described in more detail on the Website.
“Managed Services Agreement”
The contract entered into between Strytex and the Member for the provision of managed Products and Services by Strytex to the Member and details the ongoing obligations of both parties.
“Materials”
Certificates, policies and other documentation and associated information and data provided to Strytex by a Member organisation or Source organisation for use on a Member Site or the Portal.
“Member or Member organisation”
An organisation that is, or has been, registered on the Portal.
“Member Information”
Information about a Member organisation, which may include:
- assets – description & location
- business logo
- business contact details
- business locations
- business facilities
- business description
- Employee – names & roles
“Member Site”
An online account set up for a Member organisation, which contains Member Information.
“Non User”
A person employed by a Member organisation or Source organisation, who has Personal Information stored on the relevant Member Site, but who does not have authorised access to that Member Site.
“Personal Information”
Information or an opinion about an identified individual, or an individual who is reasonably identifiable:
- whether the information or opinion is true or not; and
- whether the information or opinion is recorded in a material form or not.
“Platform “
The hardware and software that supports the Portal, Products and Services, Website, Website Services and all associated content.
“Portal”
The app.strytex.com site where Administrators, Users and Execs can access relevant Products and Services and includes the layout and design of all associated portal pages; the underlying portal code; the text, sounds, graphics, animated elements and all other content on the Portal.
“Portal Content”
Content presented on the Portal by Strytex and includes Portal Information.
“Portal Information”
Information and other content provided by people or organisations other than Strytex for use on the Portal.
“Products and Services”
The Strytex products and services as described on the Website and delivered through the Portal as Software as a Service (SaaS) or Business Process as a Service (BPaaS).
“Services”
Collectively means the Website Services, Products and Services and Managed Services.
“Services Agreements”
Collectively means the Basic Services Agreement, the Managed Services Agreement and any other formal agreement between Strytex and a Member.
“Source or Source organisation”
An organisation from which Strytex has sourced Materials, which organisation is not a Member organisation.
“Subscriber”
A person who has provided Strytex with their Personal Information in relation to Website Services or contacted Strytex through the Website.
“Third-Party Applications”
Third-party services that support the Services.
“User”
A person employed by a Member organisation or Source organisation, who has authorised access to specified areas of their Member Site and access to some areas of the Portal and who may also load Materials on to the Member Site and update Member Site content.
“Validation”
The process where Strytex checks and validates a document against a third party database.
“Verification”
The process where Strytex verifies that the information displayed on the Portal is the same as the information displayed in its source document.
“Visitor”
A person who visits or has visited the Website.
“Website “
The strytex.com and strytex.zendesk.com websites and includes the layout and design of all associated website pages; the underlying website code; the text, sounds, graphics, animated elements and all other content on the site.
“Website Content”
Content presented on the Website by Strytex and includes Website Information.
“Website Information”
Content provided by people or organisations other than Strytex.
“Website Services”
A range of services provided by Strytex from the Website, to which any Visitor or person can subscribe. The services may include:
- knowledge desk incorporating user guides, FAQ’s etc
- e-newsletter
- document templates
- Blog
- online video
- e-books and e-articles
